How to Register a New Mexico Corporation

Like all states, entrepreneurs in New Mexico can register a business corporation at the state level. Individuals interested in the benefits of a corporation and seek to run a for-profit business in New Mexico can register a for-profit New Mexico corporation. The New Mexico Public Regulation Commission is the government agency that provides forms for and accepts the paperwork to register a New Mexico business at the state level. An entrepreneur seeking to do business in New Mexico can use the PRC’s sample “Articles of Incorporation” to form a for-profit New Mexico corporation.

Step 1:

Open the “Corporation Forms” page on the New Mexico Public Regulation Commission’s website (see Sources). On this page, you will see links to online copies of New Mexico business registration forms. You should get familiar with this page, as it lists links to important filing forms for New Mexico corporations and other business entities in addition to the registration form for a New Mexico for-profit corporation.

Click on the “Domestic Profit Corporations” link to the get the form and instructions for New Mexico Articles of Incorporation (see Sources for direct link). Note that you need to use different links to either open a New Mexico nonprofit corporation, New Mexico limited liability company or other business entity. If you have already registered a corporation in another state, then you must use the “foreign” corporation links to apply to do business in New Mexico as an out-of-state corporation.

Step 2:

Read through the detailed instructions. Note that the PRC, like all states, merely provides instructions and a sample articles of incorporation as a courtesy. In fact, you may need a lawyer to help you file for anything but very simple New Mexico corporations.

Step 3:

Fill out the New Mexico Articles of Incorporation. Note that you need to decide how many shares you want to offer to the public. The New Mexico corporate filing fee differs based on how many shares you are selling. You may but do not have to sell shares of the corporation. The fee for registration is at least $100 but no more than $1000 ($1 for each 1000 authorized shares).

Along with the actual articles of incorporation, the registered agent must fill out the “Statement of Acceptance of Appointment.” You will see this form online with the articles of incorporation and instructions.

Step 4:

Prepare the fees for filing your New Mexico business corporation. In addition to the standard filing fee, you can review the instructions for other options. For example, you can pay $25 for a certified copy of the articles of incorporation. Make out a check of money order to the “New Mexico Public Regulation Commission.

Step 5:

Prepare an extra copy of your articles for submission with your registration packet. Otherwise, you need to pay $1 per page ($10 minimum) for the PRC to make a copy.
